Allerdings wird im GmbHG nicht der Begriff „Weisung" verwandt. In § 37 Abs. 1 GmbHG wird nur von einer Beschränkung der Befugnis der Geschäftsführer, die Gesellschaft zu vertreten, gesprochen, wobei mit Vertretung gerade das Innenverhältnis – also die Führung der Geschäfte – gemeint ist. Im gesellschaftsrechtlichen Sprachgebrauch wird dann von einer Weisung gesprochen, wenn die Befugnis der Geschäftsführer zur Geschäftsführung durch den Gesellschaftsvertrag oder durch Beschlüsse der Gesellschafter beschränkt wird. Eine Begriffsdefinition der Weisung sucht man im Gesellschaftsrecht vergeblich. Es wird sich aber die allgemeine Beschreibung der Weisung im Auftragsrecht, wobei es sich demnach bei einer Weisung um eine einseitige Erklärung des Auftraggebers, durch die er einzelne Pflichten des Beauftragten bei Ausführung des Auftrages konkretisiert, handelt, übertragen lassen. Je nach Struktur einer GmbH werden Weisungen in der Rechtswirklichkeit sehr unterschiedliche Rollen spielen. Wegen der in § 37 Abs. 1 GmbHG genannten Voraussetzung eines Gesellschafterbeschlusses werden in größeren Gesellschaften Weisungen eher nicht alltäglich sein. Dies kann sich natürlich dann schnell ändern, wenn die Gesellschafter ihr Weisungsrecht auf ein zusätzliches, durch die Satzung vorgesehenes Organ übertragen. Ein solches Organ wäre dann in der Lage, auch bei einzelnen Maßnahmen und Sachverhalten rasch eine Entscheidung herbeizuführen. Durch § 6 GmbHG wird zwingend das Vorhandensein eines oder mehrerer Geschäftsführer vorgeschrieben. So besitzt jede GmbH schon nach dem Normalstatut zumindest zwei Organe - die Gesellschafterversammlung und die Geschäftsführung. Durch das in § 37 Abs. 1 GmbHG verankerte Weisungsrecht wird den Gesellschaftern die Möglichkeit gegeben, die Geschäftsführungsbefugnis der Geschäftsführer jederzeit Beschränkungen zu unterwerfen. Durch die Flexibilität des GmbHG werden die Gesellschafter also in die Lage versetzt, sich entweder aktiv in die Geschäfte der Gesellschaft einzuschalten, oder sich aber auch nur in die passive Rolle des Kapitalgebers zu begeben. Ist der Umfang der Kompetenzen von Gesellschafter und Geschäftsführern unklar, so führt dies gern zu Konflikten in der Gesellschaft. Daher besteht die Notwendigkeit, einerseits die Reichweite der Geschäftsführungsbefugnis und andererseits den Umfang und die Grenzen des Weisungsrechts zu konkretisieren.
